01Acceptance of terms

These Terms of Service ("Terms") form a binding agreement between you and TradeSignal, Inc. governing your access to and use of our website, applications, and services (the "Services").

By creating an account or using the Services, you agree to these Terms. If you are entering into these Terms on behalf of an organization, you represent that you have authority to bind that organization.

02Accounts and eligibility

• You must be at least 18 years old and able to form a binding contract.
• You are responsible for maintaining the confidentiality of your login credentials.
• You are responsible for all activity that occurs under your account.
• You must provide accurate information and keep it up to date.

03Subscriptions and billing

Paid plans are billed in advance on a monthly or annual basis and renew automatically until cancelled. Fees are non-refundable except where required by law.

We may change our prices with at least 30 days' notice. Continued use after a price change constitutes acceptance of the new fees.

04Acceptable use

You agree not to misuse the Services. In particular, you will not:

• Use the data or signals for unlawful spamming, harassment, or discriminatory purposes.
• Scrape, resell, or redistribute TradeSignal data outside your organization without authorization.
• Attempt to gain unauthorized access to the Services or related systems.
• Interfere with or disrupt the integrity or performance of the Services.

05Intellectual property

The Services, including all software, content, and trademarks, are owned by TradeSignal or its licensors and are protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable license to use the Services in accordance with these Terms.

06Customer data

You retain all rights to the data you upload to the Services. You grant us a limited license to process that data solely to provide and improve the Services, as described in our Privacy Policy.

07Third-party data and signals

TradeSignal aggregates information from public and licensed sources. While we strive for accuracy, we do not warrant that signals, buyer matches, or company records are complete or error-free, and you are responsible for your own due diligence before acting on them.

08Disclaimers

The Services are provided "as is" and "as available" without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

09Limitation of liability

To the maximum extent permitted by law, TradeSignal will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits or revenues, arising from your use of the Services. Our total liability will not exceed the amount you paid us in the 12 months preceding the claim.

10Termination

You may cancel your account at any time. We may suspend or terminate your access if you breach these Terms or use the Services in a way that could harm us or others. Upon termination, your right to use the Services will cease immediately.

11Governing law

These Terms are governed by the laws of the Netherlands, without regard to conflict-of-law principles. Disputes will be subject to the exclusive jurisdiction of the courts of Rotterdam.
